Stage 1 – NDA & Confidentiality

1. Scope

This NDA applies to any non-public information you share with Method2Model.com in Stage 1 – Method to Architecture, including:

  • methods, study protocols, drafts, and proposals
  • slides, notes, and internal documents
  • descriptions of planned experiments, devices, or clinical studies

(together, “Confidential Information”).

It does not apply to general scientific ideas that are already public or obvious from the literature.


2. Use of your information

Method2Model.com will:

  • use your Confidential Information only to:
    • understand your project,
    • refine your method, and
    • decide whether and how it can be modeled in later stages;
  • not use your Confidential Information to compete with you or to start a separate project on the same specific idea without your written consent.

We are allowed to:

  • reuse our own know-how, methods, code patterns, and templates that we develop while working with you,
  • as long as we do not disclose your identity, your unpublished protocol, or any other Confidential Information.

3. Sharing with third parties

By default, Method2Model.com will not share your Confidential Information with third parties.

Exceptions:

  • if you explicitly ask us to collaborate with someone (e.g. a partner lab) and approve this in writing;
  • with our own internal or trusted technical collaborators who are under equivalent confidentiality obligations;
  • if we are required to disclose something by law, regulation, or court order (and, where legally allowed, we will notify you first).

We do not sell or trade your method documents or study ideas.


4. What is not considered confidential

Information is not considered Confidential if:

  • it is already public when you send it to us;
  • it becomes public later, without our fault;
  • we already knew it from another source that was not under confidentiality;
  • we develop something similar independently, without using your Confidential Information.

5. Ownership

  • You keep ownership of your own methods, protocols, data, and study ideas.
  • MedModel Studio keeps ownership of its generic frameworks, code, tools, and templates.
  • The Stage 1 output (the Method Refinement Report – MRR) is created for your project. You can use it freely in your work (e.g. for ethics, grants, internal planning).
  • We may reuse anonymised, high-level patterns (e.g. “how to structure a dosing study”) in future projects, without mentioning your name or details.

6. Duration

  • This NDA for Stage 1 applies from the moment you submit the Stage 1 form and we receive your materials.
  • For each specific piece of Confidential Information, our confidentiality obligations last until that information becomes public through no fault of ours, or until you explicitly release us in writing.

7. No formal partnership or guarantee

This NDA:

  • does not create a legal partnership, employment, or joint venture between you and MedModel Studio;
  • does not guarantee that we will accept or complete Stage 2–4;
  • only governs how we treat your Confidential Information during Stage 1.
